Senior Manager, Compliance and Company Secretary Support

Location: Sydney CBD, NSW

Job Tasks and Responsibilities

Reporting to the Company Secretary/Chief Legal, Compliance, Corporate Affairs Officer, you will be a part of a dynamic and motivated team.
This role manages corporate compliance for Yancoal Australia Limited, providing legal services and ensuring the Company complies with obligations as required by ASIC, the ASX, HKEX, the Corporations Act and Hong Kong legislation, as well as Yancoal Australia Limited’s regulatory and statutory reporting requirements.  The position ensures the Board of Directors, management and employees are in compliance with the rules and regulations of Australian and Hong Kong regulatory authorities, and that Company governance policies, procedures and systems are followed and effectively managed. In addition, the role will drive continuous improvements in corporate governance and best practice in the Company secretarial function.
 

Skills and Experience

Qualifications:
• Bachelor Degree in Law or other relevant degree
• Post graduate degree desirable

Experience:
• Minimum 10 years’ legal experience with expertise in corporate law, managing company secretarial responsibilities, corporate governance and compliance practices.
• Experience can be gained from either a law firm or in an internal corporate role at a listed company in Australia or Hong Kong
• Track record of developing and maintaining strong relationships with the business to enhance commercial acumen
• In depth working knowledge of the Corporations Act 2001 (Cth), ASX Listing Rules, ASX Corporate Governance Principles and Recommendations
• Experience in mining industry will be considered favorably
• Experience with HKEX Listing Rules and/or working in a dual listed company is highly desirable but not essential

Skills, Knowledge and Attributes:
• Deep practical understanding of corporate governance, compliance and company secretariat functions
• Professional written and verbal communication skills
• Meticulous attention to detail and ability to produce work to a high standard
• Strong business and commercial acumen
• Ability to successfully work with multiple senior stakeholders internally and externally
• Self-motivated and consistently looks for ways to do things more effectively and efficiently and develop creative solutions to everyday challenges
• Excellent organisational and time management skills, with the ability to manage multiple projects, perform under pressure and adhere to strict deadlines
• Strategic thinker with proven analytical/problem-solving skills, including the ability to troubleshoot an issue before escalating it, and to negotiate resolutions to complex issues
• Ability to thrive in a fast paced environment and comfortable working both autonomously and in a team
• Ability to adopt a consultative and cooperative approach
• Agile in dealing with change at an organisational and industry level
• Motivated, engaged, flexible and resilient
